NAME
The name of the association shall be:
RiverWel Residents Association
Its official abbreviation shall be:
RWRA
AREA OF RESPONSIBILITY
The boundaries of RWRA will be: Jim Fouche, J G Strydom and Cornelius Roads, the N1 National Highway and Beyers Naude Drive.
DATE CONSTITUTED, ADMINISTRATIVE AND FINANCIAL YEAR
RWRA was formed at the First Annual General Meeting of the residents on 30 July 1997.
The RWRA will conduct its business from the 1st day of October to the 30th day of September annually.
It shall hold its Annual General Meeting in September of each year.
It shall close its books as at the last business day of August each year. The reason for the early closure is to facilitate the auditing and presentation of the Financial Affairs at the Annual general Meeting in September.
MISSION
The RWRA was formed with the view to improving security and providing a safe environment for all the legal residents in our area of responsibility. To further promote and establish a close community spirit of friendliness, co-operation and awareness which would enhance the quality and standard of living and by so doing make the RWRA area the area of choice.
MANDATE
The RWRA is mandated to carry out all legal measures deemed necessary to reduce crime and to achieve the objectives set out in its mission statement. The RWRA is further mandated to work in close co-operation with the South African Police, The South African Defence Force and Municipal Authorities to achieve these objectives.
The RWRA is to be conducted as a non-profit making association.
In the unlikely event of its dissolving all assets of RWRA will be donated to the Local Community Police Forum or a Local Community Charity.
MEMBERS
Membership of RWRA shall be confined to residents ithin its area of responsibility as indicated in Paragraph 2 above.
Only fully paid up members will be entitled to display RWRA Membership Signs on their Properties.
Only fully paid up members shall be entitled to speak and vote at the annual or special general meetings.
ADMINISTRATION OF THE AFFAIRS OF RWRA
The committee of members shall conduct the affairs of RWRA.
RWRA’s powers are recorded in paragraph 11 below.

The committee should consist of at least the following seven office bearers, additional positions can be added, as the committee deems necessary with a maximum of twelve positions in the committee.

General Committee Member
General Administrator (This will be a formalised appointment with a list of duties being supplied. A gratuity is payable, which will be determined and reviewed by the committee periodically.)
All committee members will be elected at the Annual General Meeting. However if a position is not filled at this meeting the committee may appoint a RWRA member to any vacant position.
The committee will then appoint a financial administrator who will be awarded a gratuity. This administrator will not be restricted to RWRA membership. This will be a formalised appointment with a list of duties being supplied. The administrator’s gratuity is determined by the committee and is subject to periodic review.
All committee members shall retire annually but may make themselves eligible for re-election.
The committee shall meet monthly to transact the business of RWRA. The Committee member hosting committee meetings may, at their own discretion, claim for reimbursement of costs incurred in hosting such meetings. A limit is set and approved by the committee, which is subject to periodic review.
In the event of the members of RWRA being dissatisfied with the performance of the duties of the committee or any particular members of the committee, the committee may call a Special General Meeting and, subject to a quorum being present, elect alternative officers.
A quorum at a committee meeting shall be 60% of its members.
A quorum of the RWRA members, for any General or Special General Meeting, shall be 20% of the paid up members. Members may be represented in person or by proxy.
The period of notice for a General or Special Meeting shall be 14 Days.
After due notice has been given, the quorum needed to change the constitution will be 20% of paid up members represented in person or by proxy.
At all meetings a simple majority of votes cast will be used to approve all matters of business.
In the event of a tie the chairman shall have an additional casting vote.
AUDITORS
One Auditor shall be elected at the Annual General Meeting. The Auditor will not be restricted to RWRA membership. The auditor may be paid an honorarium for the services that he/she renders.
The Auditor shall, at the end of the financial year (31 August) prepare an Income and Expenditure Account as well a Balance Sheet and shall certify same for submission to the members at the Annual General Meeting in September annually.
COMMUNITY POLICE FORUM
RWRA will support the Honeydew Community Police Forum. The committee will attend its meetings according to a roster as prepared by the committee.
RWRA will, as and when possible and at its own discretion, contribute (in cash or in kind) towards the running of the Honeydew Community Police Forum.
SECURITY ADVISORS
RWRA will rely on the advice given to it by the Officer Commanding, Honeydew Police Station and any other suitable qualified Security Officers or Agencies as deemed appropriate by the committee.
POWERS OF RWRA
To raise funds, by any legal means, to further the aims and objectives of RWRA.
To review, amend and change subscriptions annually, if necessary. Any proposed increase to be raised at the Annual General Meeting.
To open banking accounts and establish suitable banking and collection procedures to administer the funds and assets of RWRA. The committee is empowered to periodically review the mandate regarding signing powers in terms of payments to third parties.
To utilize its funds to further the objectives of RWRA.
To acquire by purchase, donation or sponsorship any movable assets.
To pay for or to sponsor services deemed necessary to meet RWRA’s stated objectives.
To make donations to other associations which further the aims and objectives of RWRA.
To implement all necessary procedures to effectively administer the activities of RWRA.
To implement crime prevention measures approved by the committee.
To monitor and record crime statistics in the RWRA area.
To commission, control and or terminate the services of Proactive Security Service Providers in the RWRA area.
To generally perform all lawful acts required to achieve the objectives of RWRA.
To sue and be sued in its own name only.
RWRA may not raise credit or borrow money in excess of R2,000 (Two Thousand Rand i.e. approximately one months membership fees) at any one time.
This revised constitution of RiverWel Residents Association has been formally adopted on 03 September 2002.
